
FlyExclusive and Jet AI are extending their merger agreement for three months. Originally the companies had expect to close by the end of Q2.
Per an SEC filing this evening, Jet.AI has amended its merger agreement with FlyExclusive through Oct. 31, 2025.
The two private aviation flight providers had initially signed a deal on May 6, 2025.
A definitive agreement was announced back in February.
Jet.AI currently operates in two segments: Software and Aviation.
FlyExclusive’s deal was related to the Aviation group.
The Aviation segment features fractional ownership, jet cards, on-fleet charter, management, and buyer’s brokerage.
The Software segment features the B2C CharterGPT app, the Ava agentic booking AI, and the B2B Jet.AI Operator platform.
Both FlyExclusive and Jet.AI are publicly traded after entering SPAC mergers in late 2023.
The transaction was expected to close in the second quarter.
All other terms of the transactions remain unchanged, according to the filing.
Earlier this week, FlyExclusive said it had executed a waiver letter, effective immediately.
The letter waived the lock-up of 5,625,000 shares of the Company’s Class A common stock and warrants to purchase 4,333,333 shares of the Company’s Class A common stock owned by EG Sponsor LLC and its affiliates.
