Jet.AI reschedules special meeting to vote on FlyExclusive sale

Voting for the long-delayed sale of Jet.AI’s private aviation assets to FlyExclusive will now be delayed to later this month.

A special meeting of stockholders to approve Jet.AI Inc.’s sale of private aviation assets to FlyExclusive was adjourned.

Jet.AI is moving from private aviation to high-performance GPU infrastructure and AI cloud services.

The previously scheduled special meeting was convened as planned on June 11, 2026.

It was then adjourned to allow additional time for stockholders to vote on the proposals in the company’s proxy statement regarding the FlyExclusive transaction.

Per the announcement,

‘As of the close of business on May 8, 2026, the record date for the Special Meeting, there were 1,421,721 shares of the Company’s common stock outstanding and entitled to vote at the Special Meeting. A total of 486,285 shares of the Company’s common stock, representing approximately 34.2% of the shares outstanding and entitled to vote, were represented in person or by valid proxies at the Special Meeting. Approximately 99% of the 486,285 votes already cast as of the date were in favor of the transaction.’

The special meeting will reconvene on June 23, 2026, at 4:00 p.m. Eastern time.

Because the transaction requires a definitive majority threshold of outstanding shares to pass, not voting has the same effect as voting against the deal.

FlyExclusive, Jet AI History

The duo extended their agreement through the end of the month back in April.

The original deal was announced in February 2025.

FlyExclusive receives an aircraft purchase agreement with Textron Aviation upon completion of the sale.

It will gain delivery slots for three Citation CJ3s.

FlyExclusive is the fifth-largest U.S. charter/fractional operator measured by flight hours.

Stock Price

JETAI shares closed trading on Friday at $6.75.

Its 52-week range is $5.00 to $7.56.

FLYX closed at $2.01.

Over the past year, it has traded between $1.88 and $8.88.
