Terms and Conditions

This Agreement governs your relationship with “Doug Gollan, LLC, doing business as Private Jet Card Comparisons”, its corresponding web applications, content, products, services, and technology platform.

*Individual Membership Purchasers and Access Code Recipients agree to an auto-renewal at the time of purchasing and/or activating service. Individual Purchasers and Access Code Recipients can opt out of auto-renewal online at any time after purchase, before the renewal date, by following the instructions on the user welcome page. Access Codes have no cash value and expire if not activated within 12 months of purchase.

ACCESS AND OUR SERVICES ARE FOR NON-COMMERCIAL USE. SERVICES ARE PROVIDED EXCLUSIVELY TO ASSIST CONSUMERS IN THEIR COMPARISON AND SELECTION OF PRIVATE AVIATION PROGRAMS.

You may not use any Report or information obtained from the Website for commercial purposes, including, without limitation, resale, redistribution, marketing, benchmarking, training, advisory services, or incorporation into any product, service, publication, or presentation, whether for compensation or otherwise.

The Doug Gollan, LLC Doing business as Private Jet Card Comparisons website (the “Site”) is comprised of various web pages operated by Doug Gollan, LLC Doing business as Private Jet Card Comparisons (“Private Jet Card Comparisons”). Doug Gollan, LLC, doing business as Private Jet Card Comparisons, operates a subscription-based online research platform that compiles and analyzes proprietary data on private aviation programs, including jet cards, memberships, fractional ownership, and on-demand charter services, enabling prospective buyers to compare and evaluate providers and pricing across multiple variables. Private Jet Card Comparisons services and products are offered to you conditioned on your acceptance, without modification, of the terms, conditions, and notices contained herein (the “Terms”). Your use of Private Jet Card Comparisons’ web applications, content, products, services, and technology platform constitutes your agreement to all such Terms. Please read these terms carefully and keep a copy of them for your reference.

The purpose of Private Jet Card Comparisons’ web applications, content, products, services, and technology platform is to provide information and sell products to our Users.

Users, account holders, clients, and customers are collectively referred to herein as “Users,” and the services provided by us to Clients shall be referred to herein as “Services.” Access to and use of the Private Jet Card Comparisons’ website, mobile application, its corresponding features, and technology platform (collectively, the “Services”) are subject to the following terms, conditions, and notices (the “Terms of Service”). By using our website, our mobile application, its corresponding features, and technology platform, you are agreeing to all of the Terms of Service, as may be updated by us from time to time. You should check this page regularly to take notice of any changes we may have made to the Terms of Service. It is dated as the date User agrees to this agreement.

This agreement provides Users access to a proprietary online software service that delivers a comprehensive and reliable platform providing subscribers with quick, easy, and affordable access to delivery services and/or to purchase certain goods, including with third-party providers of such services and goods under agreement with Private Jet Card Comparisons or certain of Private Jet Card Comparisons’ affiliates.

Access to our website, mobile application, its corresponding features, and technology platform is permitted on a temporary basis, and we reserve the right to withdraw or amend the Services without notice. We will not be liable if for any reason our website, mobile application, its corresponding features, and technology platform is unavailable at any time or for any period. From time to time, we may restrict access to some parts of our website or the entire Mobile application due to scheduled outages, and (y) unavailability caused by force majeure.

BY USING OR OTHERWISE ACCESSING OUR WEBSITE, THE MOBILE APPLICATION, CREATING, REGISTERING OR ACCESSING AN ACCOUNT, PURCHASING ANY PRODUCTS OR SERVICES VIA THE MOBILE APPLICATION, OR ITS CORRESPONDING FEATURES, OR MANIFESTING YOUR ASSENT TO THESE TERMS OF SERVICE IN ANY OTHER MANNER, YOU HEREBY UNEQUIVOCALLY AND EXPRESSLY AGREE TO, AND SHALL BE SUBJECT TO, THESE TERMS OF SERVICE. IF YOU DO NOT UNEQUIVOCALLY AGREE TO THESE TERMS OF SERVICE, YOU MAY NOT USE OR OTHERWISE ACCESS OUR WEBSITE, THE MOBILE APPLICATION, CREATE, REGISTER, OR ACCESS AN ACCOUNT, ACCESS OUR WEBSITE, ITS APPLICATIONS, OR PURCHASE ANY PRODUCTS OR SERVICES VIA OUR WEBSITE, THE MOBILE APPLICATION, OR THE APPLICATIONS. YOU AGREE THAT YOUR ELECTRONIC SIGNATURE IN THESE METHODS IS THE LEGAL EQUIVALENT OF YOUR MANUAL SIGNATURE ON THIS AGREEMENT. YOU FURTHER AGREE THAT YOUR USE OF A KEYPAD, MOUSE, OR OTHER DEVICE TO SELECT AN ITEM, BUTTON, ICON, OR SIMILAR ACT OR ACTION, OR ANY OTHER ACT OR ACTION IN SUBMITTING MATERIALS TO PRIVATE JET CARD COMPARISONS OR ACCESSING PRIVATE JET CARD COMPARISONS CONTENT CONSTITUTES YOUR ELECTRONIC SIGNATURE, ACCEPTANCE, AND AGREEMENT. YOU ALSO AGREE THAT NO CERTIFICATION AUTHORITY OR OTHER THIRD-PARTY VERIFICATION IS NECESSARY TO VALIDATE YOUR ELECTRONIC SIGNATURE, AND THE LACK OF SUCH CERTIFICATION OR THIRD-PARTY VERIFICATION WILL NOT IN ANY WAY AFFECT THE ENFORCEABILITY OF YOUR ELECTRONIC SIGNATURE OR ANY RESULTING AGREEMENT BETWEEN YOU AND PRIVATE JET CARD COMPARISONS.

Privacy

Your use of our corresponding web applications, content, products, services, and technology platform is subject to Private Jet Card Comparisons’ Privacy Policy. Please review our Privacy Policy, which also governs the Site and informs users of our data collection practices.

Electronic Communications

Accessing our corresponding web applications, content, products, services, and technology platform or sending emails to Private Jet Card Comparisons constitutes electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications that we provide to you electronically, via email, and on the Site, satisfy any legal requirement that such communications be in writing.

Your Account

The use our corresponding web applications, content, products, services, and technology platform, you may be required to open an account with us. You are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer, and you agree to accept responsibility for all activities that occur under your account or password. You may not assign or otherwise transfer your account to any other person or entity. You acknowledge that Private Jet Card Comparisons is not responsible for third party access to your account that results from theft or misappropriation of your account. You may be required to be logged in to the account and have a valid payment method associated with it to make use of these services.

Private Jet Card Comparisons reserves the right to refuse service, terminate accounts, terminate your rights to use our website, mobile application, its corresponding features, and technology platform, or cancel service requests in its sole discretion. We may terminate your access or suspend your right to access to all or part of our website, mobile application, its corresponding features, and technology platform, without notice, for any conduct that we, in our sole discretion, believe is in violation of any applicable law, is in breach of these Terms or is harmful to the interests of other users, Associates, or us. In addition, we reserve the right to refuse a request or use of our Services from any users in our sole discretion.

You agree that Private Jet Card Comparisons may contact you by telephone or text messages (including by an automatic telephone dialing system) at any of the phone numbers provided by you or on your behalf in connection with a Private Jet Card Comparisons account, including for marketing purposes. You understand that you are not required to provide this consent as a condition of purchasing any property, goods, or services. You also understand that you may opt out of receiving text messages from Private Jet Card Comparisons at any time, either by texting the word “STOP” to using the mobile device that is receiving the messages, or by contacting Private Jet Card Comparisons, as outlined in its User Privacy Statement, located at members@privatejetcardcomparisons.com.

YOU ARE RESPONSIBLE FOR ALL USE, ACTIVITIES, AND CHARGES ASSOCIATED WITH OR ARISING FROM ANY USE OF YOUR ACCOUNT, REGARDLESS OF WHETHER YOU AUTHORIZED SUCH USE, ACTIVITIES, OR CHARGES. WE, AND OUR AFFILIATES, ARE NOT RESPONSIBLE FOR UNAUTHORIZED ACCESS TO YOUR ACCOUNT.

You must contact us immediately if you believe an unauthorized third party may be using your account or if your account information is lost or stolen. You will be deemed to have taken any action that occurs under your account. You agree to keep your password secret and not share it with anyone except as expressly allowed under this Agreement. YOUR ACCOUNT IS FOR YOUR USE ONLY. YOU SHALL NOT SHARE YOUR ACCOUNT WITH ANY OTHER INDIVIDUAL OR ENTITY OR SELL, TRANSFER, OR SUBLICENSE YOUR ACCOUNT.
You also agree not to setup any account pretending to be someone else (or spoof someone’s identity).

Fees and Payments

The cost of the Products and Services depends upon the type of account and level of membership access you have purchased. You will pay us the applicable fees and charges for use of the Products and Services as presented to you during the request for services.
Other fee and surcharges may apply to your order, including; verification charges, tips, state or local fees and taxes, or event fees as determined by Private Jet Card Comparisons, the venue, or its marketing partners. In addition, where required by law, Private Jet Card Comparisons will collect applicable taxes.
You may subscribe to additional Services, including any new value-added services made available by Private Jet Card Comparisons from time to time. All new Services are subject to these Terms of Service, as amended from time to time.
Links to Third-Party Sites; Third-Party Services; Advertisements and Promotions
The Website, Mobile Application, content, products, services, and technology platform may contain links to third-party websites, services, applications, advertisers, merchants, or other resources (collectively, “Third-Party Sites”). Such Third-Party Sites are not owned, operated, or controlled by Private Jet Card Comparisons, and Private Jet Card Comparisons is not responsible or liable for the content, accuracy, availability, policies, practices, or functionality of any

Third-Party Site, including any links, advertisements, promotions, changes, or updates thereto.

Links to Third-Party Sites are provided solely as a convenience to you. The inclusion of any link, advertisement, or promotion does not constitute or imply any endorsement, sponsorship, recommendation, or affiliation by Private Jet Card Comparisons with the third party or its products or services. Any reliance you place on information obtained from Third-Party Sites is at your own risk.

The Website may display advertisements or promotions from third parties. Your interactions, correspondence, transactions, or participation in promotions with any third-party advertisers or merchants are solely between you and such third parties, including all terms, conditions, warranties, representations, and obligations associated therewith. Private Jet Card Comparisons does not guarantee or warrant any third party’s products, services, pricing, or business practices and shall not be responsible or liable for any loss, damage, or dispute arising from or relating to any such dealings.

Certain products, services, features, or functionalities made available through the Website or Mobile Application may be provided by third parties pursuant to contractual arrangements with Private Jet Card Comparisons. By using any such product, service, or functionality, you acknowledge and agree that Private Jet Card Comparisons may share information and data with such third parties solely as necessary to provide the requested product, service, or functionality, in accordance with applicable law and Private Jet Card Comparisons’ Privacy Policy.

You are solely responsible for conducting any investigation you deem necessary or appropriate before engaging in any transaction with a third party or relying on any Third-Party Site.

No Unlawful or Prohibited Use/Intellectual Property

You are granted a non-exclusive, non-transferable, revocable license to access and use our web applications, content, products, services, and technology, platform strictly in accordance with these terms of use. As a condition of your use of the Site, you warrant to Private Jet Card Comparisons that you will not use the Site for any purpose that is unlawful or prohibited by these Terms. You may not use the Site in any manner which could damage, disable, overburden, or impair the Site or interfere with any other party’s use and enjoyment of the Site. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available or provided for through the Site.

All content included as part of the Service, such as text, graphics, logos, images, as well as the compilation thereof, and any software used on the Site, is the property of Private Jet Card Comparisons or its suppliers and protected by copyright and other laws that protect intellectual property and proprietary rights. You agree to observe and abide by all copyright and other proprietary notices, legends or other restrictions contained in any such content and will not make any changes thereto.

You will not modify, publish, transmit, reverse engineer, participate in the transfer or sale, create derivative works, or in any way exploit any of the content, in whole or in part, found on the Site. Private Jet Card Comparisons content is not for resale. Your use of our web applications, content, products, services, and technology platform does not entitle you to make any unauthorized use of any protected content, and in particular you will not delete or alter any proprietary rights or attribution notices in any content. You will use protected content solely for your personal, non-commercial use and will make no other use of the content without the express written permission of Private Jet Card Comparisons and the copyright owner. You agree that you do not acquire any ownership rights in any protected content. We do not grant you any licenses, express or implied, to the intellectual property of Private Jet Card Comparisons or our licensors except as expressly authorized by these Terms.

The intellectual property rights made available to you on or through our website, our mobile application, its corresponding features, and technology platform remains the property of Private Jet Card Comparisons or its licensors and are protected by copyright laws and treaties around the world. All such rights are reserved by Private Jet Card Comparisons and its licensors. You are not permitted to publish, store, download, manipulate, distribute or otherwise reproduce, in any format, any of the content or copies of the content supplied to you or which appears on our web applications, content, products, services, and technology platform nor may you use any such content in connection with any business or commercial enterprise.

Private Jet Card Comparisons respects the intellectual property of others, and we ask our users to do the same. If you believe that your work has been copied in a way that constitutes copyright infringement, please provide Private Jet Card Comparisons’ Copyright Agent the following information: an electronic or physical signature of the owner or person authorized to act on behalf of the owner of the copyright interest; a description of the copyrighted work that you claim has been infringed; a description of where the material that you claim is infringing is located on our web applications and technology platform sufficient to allow us to locate the allegedly infringing material; your address, telephone number, and email address; a statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and a statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner’s behalf.

Copyright owners and agents acknowledge that failure to comply with all of the requirements of the foregoing may result in an invalidity of the Digital Millennium Copyright Act notice-Counter-Notice.

Suspension

We may suspend your right to access or use any portion or all of the Services immediately upon notice to you if we determine: (a) your use of or registration for the Services may subject us, our affiliates, or any third party to liability or may adversely impact the Services or the systems or content of any other Private Jet Card Comparisons user; or (b) you are in breach of this Agreement. If we suspend your right to access or use any portion or all of the Services you remain responsible for all fees you have incurred through the date of suspension and for any applicable fees for any Services to which you continue to have access. Our right to suspend your right to access or use the Services is in addition to our right to terminate this Agreement pursuant to the Termination Section.

Termination

We may terminate this Agreement at any time and for any reason, immediately, without notice or liability. We may also terminate this Agreement immediately, without notice or liability, if we determine in our sole discretion that: (i) you have breached any portion of this Agreement; (ii) your use of, or access to, the Services violates any applicable law, rule or regulation or otherwise inhibits any other user from using or accessing the Service; (iii) the reasons for suspension in Suspension Section will not be cured; (iv) our relationship with a third party partner who provides software, content, data, or other technology we use to provide the Services expires, terminates or requires us to change the way we provide part of the Services; (v) the Services could create a substantial economic or technical burden or material security risk for us; or (vi) our provision of any of the Services to you has become impractical or unfeasible for any legal or regulatory reason. Upon termination of this Agreement, your rights to use the application terminates and you remain responsible for all fees you have incurred through the date of termination. We have no obligation to refund to you any prepaid fees, if any. You must uninstall any of our software associated with the Services if one is provided.

Terms of Sales

By placing a request for Products or Services you are offering to purchase a product or a service on and subject to the following terms and conditions. All requests for Products or Services are subject to availability and confirmation of the Products or Services price.
All fees and charges paid to the Company are non-refundable and non-cancellable. Once payment is made, all sales are final, and no refunds, credits, chargebacks, or exchanges will be issued for any reason, including but not limited to non-use of the services, early termination, dissatisfaction, or changes in circumstances, except as expressly required by applicable law

In request for Products or Services to contract with Private Jet Card Comparisons you must be over the legal age for your state and possess a valid credit or debit card issued by a bank acceptable to us. Private Jet Card Comparisons retains the right to refuse any request made by you. If your request is accepted we will inform you by email or push notifications and we will confirm the order. When placing a request, you undertake that all details you provide to us are true and accurate, that you are an authorized user of the credit or debit card used to place your request and that there are sufficient funds to cover the cost of the goods and services being ordered. All prices advertised are subject to such changes.

Our website, mobile application, its corresponding features, and technology platform is not intended for or directed to persons who are minors (typically persons under the age of 18, depending on where you live). Because we cannot prohibit minors from accessing our website, mobile application, its corresponding features, and technology platform we must rely on parents, guardians, and those responsible for supervising minors to decide which services are appropriate for minors to view and/or purchase. By registering with us, purchasing products and services from us, or providing us with any information, you represent to us that you are legally permitted to enter into a binding contract (18 years of age or older in most jurisdictions). If you are under the legal age of consent, you have no right to open an account or purchase our products or services.

We require that all purchases be made either (i) by individuals who are not minors and who can legally enter into binding contracts (typically persons 18 years of age or older, depending on where you live).

The Private Jet Card Comparisons website, mobile application, its corresponding features, and technology platform is not available to Users who have had their User account temporarily or permanently deactivated. You may not allow other persons to use your User account, and you agree that you are the sole authorized user of your account.

When you place a request, you will receive an acknowledgement via email or push notification confirming receipt of your request. This notification will only be an acknowledgement and will not constitute acceptance of your request. A contract between us will not be formed until we send you written confirmation that the products or service package that you requested has been confirmed by us. Only those products or services listed in the confirmation e-mail sent at the time of acceptance will be included in the contract formed.

While we try and ensure that all details, description and prices that appear on our website, mobile application, its corresponding features, and technology platform are accurate, errors may occur. If we discover an error in the price of any of our products or services that you have requested we will inform you of this as soon as possible and give you the option of reconfirming your request at the correct price or cancelling it. If we are unable to contact you we will treat the request as cancelled. If you cancel and you have already paid for the products and services, you may receive a full refund.

Upon receiving your request, we carry out a standard authorization check on your payment card to ensure there are sufficient funds to fulfill the transaction. Your card will be debited upon authorization being received. The monies received upon the debiting of your card shall be treated as a deposit against the value of the products or services you wish to purchase. Once the request has been confirmed by us and you have been sent a confirmation email the monies paid shall be used as consideration for the value of the services you have purchased as listed in the confirmation notification.

Users Representations

As a Client on the Private Jet Card Comparisons website, mobile application and platform, you acknowledge and agree that you and Private Jet Card Comparisons are in a direct business relationship, and the relationship between the parties under this Agreement is solely that of independent contracting parties. You and Private Jet Card Comparisons expressly agree that (1) this is not an employment agreement and does not create an employment relationship between you and Private Jet Card Comparisons; and (2) no joint venture, franchisor- franchisee, partnership, or agency relationship is intended or created by this Agreement. You have no authority to bind Private Jet Card Comparisons, and you undertake not to hold yourself out as an employee, agent or authorized representative of Private Jet Card Comparisons.

You hereby represent and warrant to Private Jet Card Comparisons that: (a) you
(i) have reached the age of majority in the jurisdiction where you reside (generally 18, 19 or 21 years of age depending on the jurisdiction), (ii) are an emancipated minor under the laws of your jurisdiction of domicile and/or residence or (iii) otherwise have the power and authority to enter into and perform your obligations under this Agreement; (b) you are an authorized signatory of the credit or debit card or other method of payment that you provide to Private Jet Card Comparisons or it third-party payment processor to pay the purchase price and any applicable fees or taxes related to your Request; (c) you will comply with the terms and conditions of these Terms of Service and any other agreement to which you are subject that is related to your use of our website, the Mobile Application or any part thereof or any Request that you place via our website and the Mobile Application; (d) you have provided and will maintain truthful, accurate and complete information to PRIVATE JET CARD COMPARISONS, including, without limitation, your legal name, address, email address, and any other registration information PRIVATE JET CARD COMPARISONS may reasonably require; (e) your access to and use of our website, the Mobile Application or any part thereof and/or purchase and use of any Content, products or services will not constitute a breach or violation of any other agreement, contract, terms of use or any law or regulation to which you are subject; (f) you will immediately notify PRIVATE JET CARD COMPARISONS in the event that you learn or suspect that your registration information, username or password has been disclosed or otherwise made known to any other person; (g) you will promptly report to PRIVATE JET CARD COMPARISONS any violation of these Terms of Service by any other user; (h) you will not use our website and the Mobile Application to gain competitive intelligence about PRIVATE JET CARD COMPARISONS, our website, the Mobile Application or any product or service offered via our website or the Mobile Application or to otherwise compete with Private Jet Card Comparisons or its affiliates; and (i) if you purport to be the agent of, represent or otherwise act on behalf of an entity or any other person, that you are in fact an authorized representative of such entity or other person.

User Content and Interactive Areas

In the event you post, upload, submit, transmit, or otherwise make available any content, materials, messages, reviews, data, or other information (collectively, “User Content”) through the Website, Mobile Application, private email messaging features, or any discussion forums, bulletin boards, review services, or other interactive features made available by Private Jet Card Comparisons (collectively, “Interactive Areas”), you make the following representations and warranties to Private Jet Card Comparisons:

1. Ownership and Authority. You own all right, title, and interest in the User Content or otherwise have the full legal right, authority, and capacity to submit such User Content and to grant the licenses set forth in these Terms.

2. Consents. You have obtained all necessary consents, permissions, and releases from any third parties whose rights may be implicated by the User Content, including rights of privacy, publicity, or intellectual property.

3. No Infringement or Violation. The User Content does not infringe, misappropriate, or otherwise violate any intellectual property, proprietary, privacy, publicity, contractual, or other rights of any third party, and does not contain personally identifiable information of any third party in violation of applicable law or such party’s rights.

4. Accuracy and Lawfulness. All factual statements contained in the User Content are true, accurate, and not misleading, and the User Content complies with all applicable local, state, national, and international laws and regulations.

5. No Harm. The submission, publication, or use of the User Content will not cause harm, injury, or damage to any person or entity.

You acknowledge and agree that you are solely responsible for all User Content you submit, including any content posted within Interactive Areas or transmitted through private messaging features, and that such use is at your own risk.

Prohibited Content

By using the Website, Mobile Application, or any Interactive Areas, you expressly agree not to post, upload, transmit, distribute, store, create, or otherwise publish any User Content that:

• Is unlawful, libelous, defamatory, obscene, pornographic, indecent, lewd, harassing, threatening, abusive, fraudulent, or otherwise objectionable;
• Constitutes, encourages, or provides instructions for criminal conduct or violates any applicable law or regulation;
• Infringes or misappropriates any patent, trademark, copyright, trade secret, or other proprietary right;
• Impersonates any person or entity or misrepresents your affiliation with any person or entity;
• Contains unsolicited promotions, advertising, political campaigning, or solicitations;
• Discloses private or sensitive information of any third party, including addresses, phone numbers, email addresses, government identifiers, or financial information;
• Contains viruses, malware, corrupted data, or other harmful or disruptive code;
• Is unrelated to the subject matter of the Interactive Area in which it is posted; or
• In the sole discretion of Private Jet Card Comparisons, restricts or inhibits others from using the Website or Interactive Areas, or exposes Private Jet Card Comparisons or its users to potential harm or liability.

License Grant

By submitting User Content, you grant Private Jet Card Comparisons and its affiliates a non-exclusive, royalty-free, perpetual, irrevocable, transferable, and fully sublicensable worldwide license to use, reproduce, modify, adapt, translate, publish, distribute, create derivative works from, publicly display, and publicly perform such User Content in any media now known or hereafter developed. You also grant the right to use your name in connection with such User Content, at Private Jet Card Comparisons’ discretion.

User Content shall be deemed non-confidential, and Private Jet Card Comparisons shall have no obligation to treat it as proprietary or to provide compensation, attribution, or editorial control.

To the extent permitted by law, you irrevocably waive any moral rights (including rights of attribution or integrity) in the User Content and release Private Jet Card Comparisons and its licensees from any related claims.

Monitoring, Removal, and Disclosure

Any dispute, claim, or controversy arising out of or relating in any way to your access to or use of the Private Jet Card Comparisons website, mobile application, technology platform, content, features, or services, or to any products or services purchased through the website or mobile application (collectively, “Disputes”), shall be resolved exclusively by final and binding confidential arbitration administered by the American Arbitration Association (“AAA”) in accordance with the AAA Consumer Arbitration Rules and the Supplementary Procedures for Consumer-Related Disputes then in effect (the “AAA Rules”), except as modified herein.

Arbitration Location and Procedure.

Unless otherwise required by applicable law, the arbitration shall take place in Miami-Dade County, Florida, before a single neutral arbitrator. The arbitrator shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this arbitration agreement. The arbitrator’s award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Applicable Law and Jurisdiction; Miscellaneous Applicable Law and Jurisdiction.

The Website (excluding linked third-party websites) is controlled, operated, and maintained by Private Jet Card Comparisons from its offices in Miami, Florida. Although Private Jet Card Comparisons does not specifically target the Website for use outside the United States, the Website is accessible worldwide. Because the laws of other jurisdictions may differ from those of the State of Florida, and in order to establish a predictable legal environment, you and Private Jet Card Comparisons agree that all matters arising out of or relating to the access to, use, or operation of the Website shall be governed by the substantive laws of the State of Florida, without regard to its conflict-of-laws principles.

To the extent any claim, dispute, or cause of action is permitted to be brought in a court of law, you agree that such claims shall be brought exclusively in the state or federal courts located in Miami-Dade County, Florida. You irrevocably consent to the personal jurisdiction and venue of such courts, acknowledge that such forum is fair and convenient, and waive any objection to the laying of venue or to the jurisdiction of such courts.

If you access the Website from any location outside Florida, you do so at your own initiative and are solely responsible for compliance with all applicable local, state, national, and international laws.

Miscellaneous.

No failure or delay by Private Jet Card Comparisons in exercising any right, power, or remedy under this Agreement shall operate as a waiver thereof, nor shall any single or partial exercise of any right preclude any other or further exercise of such right or the exercise of any other right. Any waiver of a breach must be in writing and shall not be deemed a waiver of any subsequent breach.

As used in this Agreement, the term “including” means “including, without limitation.” Headings are provided for convenience only and shall not affect the interpretation of this Agreement.

If any provision of this Agreement is held by a court of competent jurisdiction to be invalid or unenforceable, such provision shall be severed or reformed to the minimum extent necessary to render it enforceable, and the remaining provisions shall remain in full force and effect.Except as otherwise expressly stated herein, this Agreement constitutes the entire agreement between you and Private Jet Card Comparisons regarding the subject matter hereof and supersedes all prior or contemporaneous agreements, communications, or representations, whether written or oral.

Intellectual Property and Injunctive Relief Carve-Out.

Notwithstanding the foregoing, to the extent you have violated or threatened to violate the intellectual property or proprietary rights of Private Jet Card Comparisons, Private Jet Card Comparisons may seek injunctive or other equitable relief in any state or federal court of competent jurisdiction in the United States, and you irrevocably consent to personal jurisdiction and venue in such courts.

No Professional Advice; Third-Party Disputes; Release.

The Website and Mobile Application do not provide, and shall not be construed as providing, specific recommendations, advice, or guidance for any particular situation or circumstances, even if materials cited on or obtained through the Website appear to do so. Any such recommendations may only be provided by a qualified professional advisor familiar with your particular circumstances.

You acknowledge and agree that Private Jet Card Comparisons is not a party to, and does not participate in, the purchase or sale of any products or services that may be discussed, referenced, or compared on the Website or Mobile Application. Accordingly, if a dispute arises between you and any third-party seller, provider, or purchaser, you understand and agree that Private Jet Card Comparisons has no obligation to become involved.

To the fullest extent permitted by applicable law, you hereby release, waive, and forever discharge Private Jet Card Comparisons and its affiliates from any and all claims, demands, damages, losses, liabilities, costs, and expenses of every kind and nature, whether known or unknown, suspected or unsuspected, disclosed or undisclosed, arising out of or relating to any such third-party dispute. You expressly waive any statutory or common-law protections of any jurisdiction that would otherwise limit the scope or effect of this release.

Class Action Waiver

Any arbitration under these Terms and Conditions will take place on an individual basis; class arbitrations and class/representative/collective actions are not permitted. THE PARTIES AGREE THAT A PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN EACH’S INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PUTATIVE CLASS, COLLECTIVE AND/ OR REPRESENTATIVE PROCEEDING, SUCH AS IN THE FORM OF A PRIVATE ATTORNEY GENERAL ACTION AGAINST THE OTHER. Further, unless both you and Private Jet Card Comparisons agree otherwise, the arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of a representative or class proceeding.

THE INFORMATION, SOFTWARE, PRODUCTS, AND SERVICES INCLUDED IN OR AVAILABLE THROUGH THE SITE MAY INCLUDE INACCURACIES OR TYPOGRAPHICAL ERRORS. CHANGES ARE PERIODICALLY ADDED TO THE INFORMATION HEREIN. Indemnification; Reservation of Rights

(c) your violation of any applicable law or regulation; or
(d) any User Content or other materials submitted, posted, or transmitted by you through the Website.

Private Jet Card Comparisons shall have the exclusive right, but not the obligation, to control the defense, investigation, and settlement of any indemnified matter, provided that no settlement imposing non-monetary obligations on Private Jet Card Comparisons or admitting liability on its behalf shall be entered into without its prior written consent. You agree to reasonably cooperate with Private Jet Card Comparisons, at your expense, in the defense of any such matter.

In addition, Private Jet Card Comparisons reserves the right, in its sole discretion and without liability, to suspend or terminate your access to the Website or any portion thereof at any time upon any breach of this Agreement.

Waiver

If you breach these conditions and we take no action, we will still be entitled to use our rights and remedies in any other situation where you breach these conditions.

Entire Agreement

The above Terms of Service constitute the entire agreement of the parties and supersede any and all preceding and contemporaneous agreements between you and Private Jet Card Comparisons. Any waiver of any provision of the Terms of Service will be effective only if in writing and signed by a Director of Private Jet Card Comparisons.

Changes to Terms
Private Jet Card Comparisons reserves the right, in its sole discretion, to change the Terms under which Doug Gollan, LLC Doing business as Private Jet Card Comparisons is offered. The most current version of the Terms will supersede all previous versions. Private Jet Card Comparisons encourages you to periodically review the Terms to stay informed of our updates.
